This License Agreement (“Agreement”) is a legal agreement between you (“Licensee” or “you”) and Virtual Novoads Limited (“Licensor”, “we”, or “us”) regarding the use of digital content, assets, or software (collectively, the “Licensed Materials”) provided by Virtual Novoads Limited through our website or services.
1. Grant of License
Subject to your compliance with this Agreement and full payment of applicable fees, Virtual Novoads Limited grants you a limited, non-exclusive, non-transferable, non-sublicensable license to use the Licensed Materials for personal or business use as defined in the scope of your purchase or service agreement.
2. Permitted Use
- You may use the Licensed Materials for your own projects, websites, marketing campaigns, or branding purposes, as outlined in your purchase or service agreement.

3. Restrictions
- You may not resell, redistribute, sublicense, or otherwise make the Licensed Materials available to third parties, whether modified or unmodified, unless explicitly authorized in writing by Virtual Novoads Limited.
- You may not use the Licensed Materials in any way that infringes on the intellectual property rights of others or violates applicable laws or regulations.
- You may not claim ownership or authorship of the original Licensed Materials.
4. Ownership
All rights, title, and interest in and to the Licensed Materials remain the sole and exclusive property of Virtual Novoads Limited. This Agreement does not transfer any intellectual property rights to you other than the limited license expressly granted above.
5. Termination
This license is effective until terminated. We may terminate this license at any time if you breach any terms of this Agreement. Upon termination, you must cease all use of the Licensed Materials and delete or destroy all copies in your possession.
6. Disclaimer of Warranty
The Licensed Materials are provided “as is” without warranties of any kind, either express or implied. Virtual Novoads Limited does not guarantee that the materials will be error-free or suitable for any particular purpose.
7. Limitation of Liability
In no event shall Virtual Novoads Limited be liable for any damages arising from the use or inability to use the Licensed Materials, including but not limited to loss of profits, business interruption, or data loss, even if we have been advised of the possibility of such damages.
8. Governing Law
This Agreement shall be governed and interpreted in accordance with the laws of the Hong Kong SAR. Any disputes shall be submitted to the competent courts in Hong Kong.
